A-D Technologies Acquires Bore Flex A

-D Technologies, a portfolio company of Au-dax Group, has acquired the assets of Bore Flex, Industries. Based in Mountain Grove, Mo., Bore Flex manufactures HDPE pipes and conduit for the telecom, power, and pressure pipe segments. Bore Flex has facilities in Mountain Grove, Tennille, Ga., and Sandersville, Ga., and a distribution center in Ft. Myers, Fla.

A-D Technologies will integrate Bore Flex into its current U.S. regional operations. The company supplies HDPE duct and conduit in the telecommunications industries in the U.S. and abroad. A-D Technologies was formed in March 2007 through the merger of Dura-Line and Arnco.

“This acquisition will position us to better serve our cus-tomers, strengthen our footprint in the U.S., and broaden our product offering for the pressure pipe market,” said Paresh Chari, A-D Technology president and CEO.

MasTec Acquires Canadian Energy Infrastructure Company Fabcor M

asTec, Inc. announced on April 26 that it has acquired Fabcor TargetCo, Ltd., and its subsidiaries, a Canadian pipeline and facility construction services com-pany with offices in Grand Prairie, Al-berta, and Dawson Creek, British Columbia, Canada. Fabcor’s pipeline and facility construction services to the oil and gas industry include new pipeline construction, pipeline modi-fication and replacement services, well-site and compressor station construction services, and gas plant modification and plant commissioning support services.

MasTec acquired all of the issued and outstanding shares of Fabcor for approximately $21.1 million in cash, the as-sumption of $8.8 million in debt that was subsequently paid off, plus a five-year contingent earnout. Fabcor had a strong balance sheet at closing, with $26.3 million in tangible net worth, $15 million of which was related to pipeline construc-tion equipment. Fabcor has worked for most major oil and gas companies in Canada, including Murphy Oil Corporation, Encana, and Quicksilver. Fabcor was recently awarded a con-tract to construct a 100 MMcf/d natural gas processing plant in British Columbia.

ergy infrastructure work in Canada during the coming years and that Fabcor will provide the platform it needs to provide those services in a variety of areas. While Fabcor’s initial focus will be on pipeline and facility related projects, MasTec plans to leverage this investment and participate in other areas of the Canadian energy infrastructure build-out. “We are very excited about the Fabcor acquisition,” Mas-Tec CEO Jose Mas said. “Its strong management team and dedicated workforce will provide MasTec with access to the dynamic Canadian energy markets, which we believe will show significant profitable growth in coming years.”

Prinoth and AHWI Announce Strategic Alliance A

HWI and Prinoth have announced the for-mation of a strategic alliance for the further global expansion of biomass and sustainable brush cutting and mulching solutions in forestry and agriculture. Within this context, Prinoth, part of the Leitner Group, is acquiring a 51 percent stake in AHWI Maschinenbau GmbH. With this strategic partnership, AHWI gets access to an outstanding internation-al sales and service network as well as to a global production and supplier network.

“The products of the two companies complement each other perfectly,” said Arthur Willibald, founder and CEO of AHWI GmbH. “While AHWI has a complete product line of mulching equipment and the associated carrier vehicles, Pri-noth can expand this selection with its Beaver, a track-driven mulcher, and with its complete spectrum of carrier vehicles for the transport of the biomass that has been harvested.”
