PCCA Bylaws ARTICLE I Name And Object Of The Association The name of this Association shall be, “Power and Communication Contractors Association, Incorporated” and it shall have for its purpose the promotion and protection of contractors engaged and interested in the contracting for and construction, repair and maintenance of electric power transmission and distribution lines and substations, and of telephone, broadband, cable television, and other communication systems, or other related endeavors, and to promote better relations between members of the Association and other individuals, partnerships, corporations and departments of government with whom members of the Association may have business relations; to maintain high professional standards in the conduct and performance of the work of its members; to retard and suppress unfair and discriminatory practice by members and by those with whom the members of the Association may have business relations; to collect and disseminate statistics and information of value to the members; to endeavor to rectify conditions of unsatisfactory character affecting the business of its members generally; to encourage methods of contracting, and performance thereof which will relieve members of unnecessary and improper risks; and do other acts of a voluntary Association which will inure to the benefit of the firms, associations, corporations, and departments of government with which the firms, associations or corporations may transact business generally. This Association shall be a voluntary organization having no stockholders or shareholders, no part of the receipts of said Association shall inure to the benefit of any private individual, corporation, or member, except for salaries (or the return of expenses) for services performed. ARTICLE II Membership The membership of this Association shall consist of four classes: contractor, associate, honorary, and advisory. The classes of membership are thus defined:

16 PCCA Membership Directory & Buyer’s Guide | 2026 - 2027 PCCA Bylaws (a) Contractor Members: Companies of good standing actively engaged and interested in the contracting for and construction, repair and maintenance of electric power transmission and distribution lines and substations, and of broadband, telephone, cable television, and other communication systems, or other related endeavors; provided, any corporation, partnership, association or sole proprietorship so engaged in such business and having done such work may apply for membership in such organization for a representative of such applicant binding itself, and when made by the individual representative in person he shall bind himself, to the payment of the dues with respect to the membership so designated. (b) Associate Members: Associate membership shall be limited to manufacturers, distributors, wholesalers, agents or individuals supplying materials, equipment or services used by the contractor members of the Association in performing their contractual endeavors. Associate members shall not be permitted to vote or hold office, except for four elected representatives to the Board of Directors. (c) Honorary Members: Any person of good character and standing when selected by a majority of the members present at the duly constituted meeting of the Association; provided, however, no honorary member shall be permitted to vote at any meeting of the Association or to hold any office therein, but this proviso shall not prevent the appointment of an honorary member on any special committee. (d) Advisory Members: Persons affiliated with companies in allied segments of the industry, not eligible for other classes of membership, whose advice and counsel are of value to the Association. Advisory members shall not be permitted to vote or hold office. Such Advisory members shall be reviewed and approved annually by the Board of Directors. Any association, corporation, partnership, or sole proprietorship may change the name of any nominated individual representative by transmission of its desire to do so to the President & CEO of the Association. The President & CEO shall change the records and issue such indicia as is proper to complete the change. Any member of the Association guilty of any unfair, dishonest practices in any branch of the industry, or guilty of any criminal conduct, or who shall violate any of the bylaws, rules and regulations of the Association, may be deprived of his or her membership in the Association by order of the Board of Directors thereof. ARTICLE III Dues The contractor members of the Association shall pay dues on a sustaining basis, the annual rate to be determined by the Board of Directors and said dues shall be payable immediately upon notification by the President & CEO. The associate members of the Association shall pay dues at the rate determined by the Board of Directors, and said dues shall be payable immediately upon notification by the President & CEO that such membership has been accepted. The honorary members of the Association shall pay no dues, the terms of such membership being governed by will of the members present at a duly constituted meeting of the Association as provided in Article II of the bylaws. The advisory members for the Association shall pay no dues; however, when participating in any of the Association’s benefit programs, shall pay a service fee in an amount to be determined from time to time by the Board of Directors. All dues received by the President & CEO shall be noted on the Association’s records, which records shall show the amount paid and the period for which such dues have been collected. The President & CEO shall then deposit such dues to a bank or banks, and remit a report to the Treasurer twice per year of the dues received and deposited. The Directors of the Association shall, as nearly as possible, budget the system of expenditures of the Association. The Steering Committee will prepare a proposed budget at its fall meeting to be submitted to the Board of Directors for its approval at its annual meeting. Upon failure of any member company to pay its annual dues in strict accordance with the above provision, the name of such delinquent member shall be stricken from the rolls of membership, and no member of the Association who is in arrears in the payment of his dues shall be permitted to participate in any of the meetings of the Association, whether its name has been stricken from the roll of membership

18 PCCA Membership Directory & Buyer’s Guide | 2026 - 2027 or not; and before any delinquent member, or member whose name has been stricken from the roll shall be entitled to reinstatement, all dues in arrears shall be paid, and such reinstatement shall be expressly subject to the approval of the Board of Directors of the Association. A card of membership may be issued to each member company by an official designated for the purpose, such membership cards to be renewed from year to year upon payment of the annual dues in advance. ARTICLE IV Form Of Organization And Executive Staff (a) The Association shall consist of a general organization which shall perform its functions through a Board of Directors and the Officers hereinafter referred to. The general organization shall have jurisdiction and control over all questions affecting the membership of the organization as a whole, or which are of national or general control. (b) The Association shall maintain a National Headquarters office in such place as the Board of Directors may from time to time determine to be for the best interest of the Association. (c) A President & CEO shall be employed and shall have such duties and responsibilities as are delegated to him or her by membership action through the Directors and Officers. He or she shall be selected by the Board of Directors and shall hold office until removed by death, resignation or action of the Board of Directors. (d) Vice President may be employed and shall assist in the execution of the duties of the President & CEO. He or she shall be selected by, and serve at the direction of, the President & CEO. ARTICLE V Activities Of Members (a) All contractor members shall have equal standing and representation in the Association. (b) Applications for membership may be approved by a majority of the Board of Directors, or as delegated to the President & CEO. ARTICLE VI Board Of Directors (a) The Board of Directors of the Association shall be selected and/or elected from the various states or geographical regions of the United States so that all areas will be well represented. All Directors shall be persons employed by member companies of the Association. (b) The Board of Directors shall consist of a minimum of ten members and a maximum of twenty-four members, which numbers shall include the Officers of the Association, the general Directors, the two immediate Past Chairmen, and four representatives from among the Associate Members. Each Associate representative shall become a voting member of the Board for a term of four years. (c) In the event any Director is absent for two Board of Directors’ meetings in succession without an adequate cause, such Director may be removed and the vacancy filled by the remaining Board of Directors. (d) The Board shall have the power and authority to set up such special or standing committees from time to time as the Board may determine to be for the best interests of the Association. (e) The Board of Directors shall meet at least two times a year: once in conjunction with the annual meeting of the general membership at the place of such meeting; and once approximately six months following each annual meeting. (g) Actions of the Board of Directors may be taken by joint resolution with unanimous written consent of all Directors using either regular or electronic mail. (h) When a vacancy in the Board of Directors occurs by reason of death or resignation, such vacancy shall be filled by the remaining Directors; and the person so selected, when qualified, shall serve until a successor is elected and qualified. ARTICLE VII Officers And Steering Committee (a) The Officers of the Association shall consist of a Chairman, Chairman-Elect, 1st Vice Chairman, 2nd Vice Chairman, Treasurer, Secretary, and the two immediately preceding Chairmen, known as Ex-Officio Members. (b) The Officers of the Association shall be chosen from persons employed by member companies of the Association and shall be elected by ballot at each annual meeting of the Association. Their terms of office shall begin at the close of said meeting, and they shall hold office for one year and until their successors are elected and qualified. (c) The Officers shall be eligible for re-election. In the event of the death or absence of the Chairman, the Chairman-Elect shall at such times act as Chairman; and should the Secretary be absent from any meeting, those present may select a person to act as such Secretary of the particular meeting; and should any office become vacant other than that of Chairman, the vacancy shall be filled by a vote of the Board of Directors at a meeting held for that purpose. (d) No member shall hold more than one elective office at one and the same time. Said Steering Committee is to work toward long-term goals, short-term planning, and annual budgeting of the Association and to do all in its power to motivate the Association to fulfill such goals, planning and budgeting. In addition, the Steering Committee is to act as a Nominating Committee to recommend to the Board of Directors annually nominations for Officers and new Board members of the Association. The Chairman shall notify nominees and determine their interest in serving and then present a slate of Officers and new Board members for the Board’s consideration. Approval of Board nominees shall be by a majority vote of Board members present at any meeting as herein provided. The Steering committee will meet two times annually between the annual convention and the mid-year meeting. The meeting held in the spring will be used for planning purposes while the meeting in the fall will be used to prepare a proposed budget. The location of the meetings will be selected by the Chairman or other officer presiding over the meeting. ARTICLE VIII Duties Of Officers And Executive Staff (a) The Chairman shall preside at the meetings of the Association and at the meetings of the Board of Directors, and shall perform such other duties as are incumbent upon the office. In the absence of the Chairman or upon his or her becoming ineligible, the Chairman-Elect shall assume and perform the duties of the office. In the absence of both, the Secretary shall so act. (b) The President & CEO shall keep an accurate record of all minutes of meetings of the Association and the Board of Directors as well as complete books and records reflecting the affairs of the Association. The President & CEO shall also receive all dues and contributions paid to the Association, and shall deposit the same in the bank to the credit of the

The President & CEO shall have supervision of the offices, activities, and programs of the Association; shall be responsible for preparing, editing and distributing the official publications of the Association; and shall be reimbursed for expenses while traveling on or conducting Association business; and shall render account therefore to the Chairman and Treasurer. The President & CEO shall not be a member of the Association. (c) The Vice President shall assist the President & CEO in his or her duties, and in the event the President & CEO is incapacitated or otherwise is unable to perform the duties of that office as determined by the Chairman, with the advice and consent of the Board of Directors, then the Vice President shall assume the duties of the President & CEO, with all rights and authorities pertaining thereto, until such time as the President & CEO is able to resume the, duties of that office, or until a successor is designated. The Vice President is also an authorized signatory on the Association’s accounts and shall sign appropriate signature cards to exercise such authority. (d) The Treasurer shall keep an accounting of the receipts and expenses of the Association, shall verify reports made to him by the President & CEO, and when called upon by the Board of Directors, shall make a report of the financial condition of the Association. (e) The Board of Directors shall manage all of the affairs of the Association. All questions decided by the Board of Directors shall be by a majority vote of those present at any meeting as herein provided. Such Board of Directors shall have the authority to employ such persons and approve such expenses as it may deem necessary to carry out the functions and the activities of the Association, and shall affix and approve salaries or fees for any services rendered to the Association. (g) A fidelity bond covering all elected officers, and employees (actual or contractual), of the Association shall be procured, and maintained at all times, in an amount as designated by the Board of Directors, for the faithful performance of their duties, including any signatory authorities. The individuals so bonded shall include: Chairman, Chairman-Elect, 1st Vice Chairman, 2nd Vice Chairman, Treasurer, Secretary, President & CEO and Vice President. ARTICLE IX Meetings (a) The Association shall meet in regular session at least once a year at a time and place to be decided by the Board of Directors. (b) The Chairman, or a majority of the Board of Directors shall have the power to call a meeting of the Association for special business at such time and place as they deem proper. (c) Notice of the time and place of the annual meetings and of the time, place and purpose or purposes of special meetings shall be mailed, postage prepaid, to each member at his or her last known address not less than fifteen nor more than sixty days before the date of such meeting. (d) At any annual, regular or special meeting of the Association, ten percent of the members shall constitute a quorum for the transaction of business. (f) Proxies shall be recognized and may be used in any and all voting. (g) At the annual, regular or special meetings of the Association, the order of business shall be scheduled by the presiding officer. (h) In the event a letter ballot is used in lieu of a called meeting as herein provided, such ballots to be considered must be received at the office of the Association within the time limit set forth in the form of the mail ballot; which time limit shall not be less than ten days from the date such ballots are mailed to the members. ARTICLE X Indemnification Every Officer, Director, employee (actual or contractual) of the Association and its subsidiaries, and such others as specified from time to time by the Board of Directors, shall be indemnified by the Association against all expenses and liabilities, including counsel fees, reasonably incurred or imposed upon them in connection with any proceeding to which they may be made a party, or in which they may become involved, by reason of being or having been an Officer, Director, or employee of the Association or its subsidiaries, or any settlement thereof, whether the person is an Officer, Director, or employee at the time such expenses are incurred, except in such cases wherein the Officer, Director, or employee is adjudged guilty of willful misfeasance or malfeasance in the performance of duties. The foregoing right of indemnification shall be in addition to and not exclusive of all other rights to which the indemnified may be entitled. ARTICLE XI Amendments These bylaws may be amended or revised at any regular or special meeting of the Association at which there is a quorum present, or may be amended at any regular or special meeting of the Board of Directors of the Association.
